This is not your everyday license, so please read it. Also, this is an HONOR CODE thing - if you submit a license request, you are saying on your honor that you are an artist who wants to use this for your own music. You are not a music business muckety muck who wants to obtain this to put on your client's records. This is an artist thing, aptly called ARTIST AUTHORIZED that tells their fans that they do receive a fair, agreed-upon portion of the proceeds of the sale of this record and that the music arrives in the hands of the fans with their full knowledge and participation.

If you ARE a music business muckety muck and you want to put this logo on your client's next record and think the artist would agree with you that it belongs there, get the artist themselves to fill this out and the license will be issued to them in their name.

Also, since the folks who started this ARTIST AUTHORIZED deal are also from a small label with more things to do than resources to do them, we can't become the license police and review every request to ensure that it is the artist themselves who are requesting it. That's why it's an HONOR CODE THING. So yes, you could probably con us if you really wanted to. But it's very bad karma to scam off of the SACRED RELATIONSHIP BETWEEN ARTIST AND MUSIC FAN. So please don't. And if the bloggers find out about your scam they will bring all that bad karma on your head. We don't want that. Shudder.

ARTIST AUTHORIZED TRADEMARK LICENSE AGREEMENT

PLEASE READ THIS AGREEMENT CAREFULLY BEFORE CLICKING ON THE "I AGREE" BUTTON.  YOU MAY NOT USE THE ARTIST AUTHORIZED LOGO UNTIL YOU HAVE READ THIS AGREEMENT AND CLICK THE "I AGREE" BUTTON.  BY CLICKING ON THE "I AGREE" BUTTON AT THE END OF THIS AGREEMENT, 
YOU ARE AGREEING TO BE BOUND BY THE TERMS OF THIS CONTRACT. IF YOU DO NOT AGREE TO THE TERMS OF THIS CONTRACT, DO NOT CLICK THE "I AGREE" BUTTON OR USE THE ARTIST AUTHORIZED LOGO.

This trademark license agreement ("License Agreement") is entered into as of the date that Artist completes the signup form to obtain this License Agreement as provided by Artist Authorized ("Effective Date") by and between Titan Music Group or its assignees ("Artist Authorized") and the person or persons completing the signup form to obtain this License Agreement as provided by Artist Authorized (individually or collectively, as applicable, such persons are referred to as the "Artist").  If Artist consists of more than one (1) person, this License Agreement may only be signed by a member of Artist, and the member of Artist who is signing this License Agreement has the full authority and permission to bind each member of Artist to the terms of this License Agreement.  THIS IS A BINDING CONTRACT.  PLEASE READ THIS AGREEMENT BEFORE SIGNING IT, AND ONLY SIGN IT IF YOU UNDERSTAND THE TERMS AND CONDITIONS, IF THE STATEMENTS MADE ARE TRUE AS APPLIED TO YOU (AND IF A GROUP ARTIST, ALL MEMBERS OF THE GROUP), AND IF YOU INTEND TO BE BOUND BY THE TERMS.  EACH MEMBER OF THE ARTIST MUST BE OVER THE AGE OF 18 AND MUST BE A RESIDENT OF THE UNITED STATES.

For good and valuable consideration, the adequacy and receipt of which each party acknowledges, Artist Authorized and Artist agree as follows:

1.  DEFINITIONS

             In addition to other defined terms, the following terms have the applicable meanings:

 	(a)      "Mark(s)" means the Artist Authorized logo from Exhibit A of this License Agreement, and such other logos, graphical or textual designations as Artist Authorized may utilize where the use of the logo is not practical.  Artist Authorized may change the Mark(s) from time to time.  

 	(b) 	"Product(s)" means recordings featuring solely the performances of Artist, reproductions of those sound recordings (including digital transmissions (such as mp3 files), compact discs, USB drives or other storage media with those sound recordings), and such other media as Artist Authorized may approve from time to time.  As of the Effective Date, the Artist Authorized logo is only provided for use in connection with the cover art of compact discs.

  	(c)	"Territory" means the world (subject to Artist Authorized's rights under paragraph 2(c) below).

 	(d) 	"Usage Rules" means the rules designated by Artist Authorized for the size, placement, and other uses of the Marks as may be communicated by Artist Authorized from time to time, including by means of email communication to Artist, or by posting the Usage Rules or revised or expanded versions of the Usage Rules on Artist Authorized's website, currently www.artistauthorized.org.  The Usage Rules are incorporated into this License Agreement as though fully set forth.

2.  LICENSE GRANT

 	(a) Subject to and expressly conditioned upon Artist's compliance with the terms and conditions of this License Agreement, Artist Authorized grants to Artist the nonexclusive, personal right to use the Marks in the Territory, solely in the manner described in this License Agreement and in the Usage Rules (as may be amended from time to time).  THE LICENSE RIGHT SET FORTH IN THIS SECTION 2(a) IS NOT INTENDED AS A "CERTIFICATION" PROGRAM, I.E., THE MARK(S) DO NOT REPRESENT THAT ARTIST AUTHORIZED CERTIFIES ANY PRODUCT IN ANY WAY.

 	(b) If Artist is a group artist, Artist agrees that Artist shall be, and each member of Artist shall be jointly and severally, liable for any breach of the terms and conditions of this License Agreement by Artist or any member of Artist.

 	(c)  Artist Authorized may modify the license right set forth in Section 2(a) above to eliminate any country or jurisdiction from this License Agreement if Artist Authorized determines, in its reasonable judgment, that use or continued use of the Mark(s) in such country or jurisdiction may subject Artist Authorized or any third party to legal liability, or may jeopardize Artist Authorized's rights in the Mark(s) in that or any other country or jurisdiction. In such event, Artist shall cease all use of the Marks in such country or jurisdiction following notice from Artist Authorized, which may be in the form of an amendment to the Usage Rules or this License Agreement as posted on www.artistauthorized.org.

 	(d) Artist may not use or reproduce the Mark(s) in any manner whatsoever other than as expressly described in the Usage Rules.

 	(e)  Artist understands and agrees that Artist Authorized retains all right, title and interest in and to the Mark(s). Except as expressly granted in this License Agreement, Artist shall have no rights in the Mark(s). Under no circumstances will anything in this License Agreement be construed as granting, by implication, estoppel or otherwise, a license to any right other than the permitted use of the Mark(s) pursuant to Section 2(a).

 	(f)  Artist further understands and agrees that nothing set forth in this License Agreement, or otherwise, gives Artist the right to create, manufacture, sell or distribute (commercially or noncommercially) any reproduction of the Marks on anything other than a Product.  

	(g) Artist further understands and agrees that it will use the Mark(s) solely as provided in this License Agreement and will not use the Mark(s) for goods or products which, in Artist Authorized's reasonable judgment, will diminish or otherwise damage Artist Authorized's goodwill in the Mark(s), including but not limited to uses which could be deemed to be obscene, infringing, pornographic, excessively violent, unlawful, or which purpose or objective is to encourage unlawful activities or promote copyright infringement.

3.     ASSIGNMENT

The license grant in Section 2(a) is personal to Artist and Artist shall not assign, transfer or sublicense this License Agreement (or any right granted herein) in any manner without the prior written consent of Artist Authorized. 

4.	QUALITY CONTROL

 	(a)  Artist represents and warrants to Artist Authorized that to the best of its knowledge the Product is or will be in compliance with the Usage Rules, and Artist agrees to maintain the quality of Product at least at a level that meets industry standards.

 	(b)  If Artist Authorized, in its sole discretion, determines that any use of the Mark(s)  fails to conform to this License Agreement, Artist Authorized may provide Artist with written notice of such failure or deficiency. Artist shall have sixty (60) days from the date of that notice to satisfy Artist Authorized that the Artist has fully corrected and remedied any such deficiencies. Should the Artist fail to cure the deficiencies within that sixty (60) day period, Artist Authorized may terminate this License Agreement with respect to such deficient Product.

 	(c)  At no time will Artist use the Mark(s) in a manner that will cause the Mark(s) to be more prominent than the Artist's own designations.

 	(d)  Artist represents and warrants that it will comply with all applicable laws, rules, and regulations regarding promotion and sale of Product with any of the Marks, and will not violate or infringe any right of any third party.

 	(e)  Artist understands and agrees that only featured recording artists are eligible to use the Mark(s), and may only use the Mark(s) on Products featuring solely their performances.  By way of example, if Artist's recordings are used on a compilation record that included the performances of other artists, Artist would not be able to use the Mark(s) in connection with that compilation record.  By entering into this License Agreement, Artist represents that Artist is the sole featured artist on all Products for which Artist wishes to use the Mark(s).

5.	IDENTIFICATION AND USE

(a) Artist shall mark every use of the Mark(s) with the trademark designation as described in the Usage Rules and shall otherwise comply with the Usage Rules as amended by Artist Authorized from time to time.

          (b) Artist acknowledges Artist Authorized' s sole ownership of the Marks. Artist shall use Artist's best efforts to use the Mark(s) in a manner that does not derogate from Artist Authorized's rights in any of the Marks and will take no action that will interfere with or diminish Artist Authorized's rights in the Marks. Artist shall not utilize the Mark(s) in connection with any grant of rights that permits the unrestricted use of any Product, e.g, a so-called "Creative Commons" license, unless that grant of right expressly disclaims any authority to grant rights with respect to the Marks, and each such grant is approved by Artist Authorized in writing in advance.  Artist agrees that all use of the Mark(s) by Artist will inure to the benefit of Artist Authorized. Artist may not use the Mark(s) in any way that implies endorsement or sponsorship by Artist Authorized of Artist, or of the Product(s).

 	(c)  Any license or sublicense granted by Artist that includes the right to manufacture and/or distribute a Product with a Mark shall be subject to restrictions on the use of Mark(s) set forth in this License Agreement.

6. DEFENSE OF CLAIMS

(a)	If Artist Authorized receives information concerning an intellectual property infringement claim related to the Mark(s), Artist Authorized may at its expense, without obligation to do so, either (i) procure for Artist the right to continue to use the alleged infringing Mark(s) as set forth in Section 2(a), (ii) replace or modify the Mark(s) to make it non-infringing, or (iii) cease using the Mark(s), and Artist shall cease use of the alleged infringing Mark(s).

(b)	Artist Authorized shall have no liability for any intellectual property infringement claim based on Artist's manufacture or distribution of a Product, or Artist's use of the Mark(s).

(c)        ARTIST AUTHORIZED MAKES NO WARRANTIES, EITHER EXPRESS, IMPLIED, STATUTORY OR OTHERWISE, WITH RESPECT TO THE MARK(S), INCLUDING ANY WARRANTY OF NON-INFRINGEMENT, IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PUR-POSE.

(d)  	Artist agrees to indem-nify and defend Artist Authorized from and against any and all claims, damages, costs, and expenses (including reasonable attorneys' fees) and pay the amount of any adverse final judgment (or settlement to which both parties consent) arising out of or related to the Product(s) in any manner, including user claims regarding a Product's defect, failure or malfunction.

7. CONSEQUENTIAL OR OTHER DAMAGES

EXCEPT AS SET FORTH IN PARAGRAPH 9(d), NEITHER PARTY SHALL BE LIABLE FOR ANY CONSEQUENTIAL, INCIDENTAL, INDIRECT, PUNITIVE OR SPECIAL DAMAGES (INCLUDING LOSS OF BUSINESS PROFITS) ARISING FROM
OR RELATED TO ARTIST'S MARKETING OR DISTRIBUTION OF PRODUCT(S), OR ANY USE OF THE MARK(S), REGARDLESS OF WHETHER SUCH LIABILITY IS BASED ON BREACH OF CONTRACT, TORT, STRICT LIABILITY, BREACH OF WARRANTIES, INFRINGEMENT OF INTELLECTUAL PROPERTY, FAILURE OF ESSENTIAL PURPOSE OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL ARTIST AUTHORIZED BE LIABLE FOR ANY DAMAGES FOR ARTIST'S USE OF THE MARK(S) IN VIOLATION OF THE TERMS AND CONDITIONS OF THIS LICENSE AGREEMENT.

8.  INFRINGEMENT

Artist shall promptly notify Artist Authorized of any suspected infringement of or challenge to the Mark(s) or any of its constituent elements.

9.  TERM 

 	(a)  The term of this License Agreement shall be for a period of two (2) years from the Effective Date, after which the term of this License Agreement shall be perpetual; provided however, that Artist Authorized shall have the right to terminate this License Agreement with cause upon thirty (30) days prior written notice for any or no reason, and this License Agreement shall terminate automatically at such time as Artist Authorized ceases doing business or operating the website at www.artistauthorized.com.

           (b) Upon expiration of this License Agreement, the license right set forth herein may be renewed for an additional term by execution of a subsequent version of this License Agreement, as amended or not in Artist Authorized's discretion as posted on www.artistauthorized.com. 

(c) From and after termination of this License Agreement, Artist shall cease all uses of the Mark(s). However, unless the License Agreement is terminated for breach in connection with more than a single Product, Artist may distribute then-existing units of complying Product and for a period of six (6) months from the termination date; provided use of the Mark(s) in connection with such inventory and such inventory is in compliance with the terms and conditions of this License Agreement.

10.  REPRESENTATIONS AND WARRANTIES; INDEMNITY

Artist represents and warrants to Artist Authorized that Artist, and each member of Artist, is over the age of 18, or the age of majority in the state in which they reside; is a resident of the United States, the use of the Mark(s) do not violate the terms of any agreement to which Artist, or any member of Artist, is a party; and that no consent of a third party is necessary in order for Artist to enter into this License Agreement.  Artist shall indemnify, defend and hold Artist Authorized harmless from and against any and all losses (including actual attorneys' fees and costs, reasonably incurred) arising out of or relating to any breach by Artist of any of Artist's representations, warranties, promises or undertakings in this License Agreement.

11.  NOTICES; NOTICE AND CURE

 	(a)  All notices and other communications under this License Agreement shall be in writing and shall be deemed given if delivered personally, mailed by registered or certified mail, return receipt requested, or sent by email or telecopy with a receipt confirmed by telephone, to the parties at the addresses herein or to such other addresses as a party may from time to time notify the other parties. Provision of an email address at which each party may be contacted is mandatory.

           (b) A party's failure to perform any of its obligations will not constitute a breach of this License Agreement unless the party has received written notice specifying such non-performance and fails to cure within thirty (30) days from receipt of such notice.  

12.  ENTIRE LICENSE AGREEMENT; AMENDMENT

Artist Authorized's providing this License Agreement to Artist does not constitute an offer by Artist Authorized. When Artist clicks the "I AGREE" button below, this License Agreement, including the Usage Rules, contains the entire agreement of the parties, and supersedes and merges any prior and contemporaneous communications. Any amendment proposed by Artist shall not be effective unless signed on behalf of both of the parties by their respective authorized representatives.  Artist Authorized may amend this License Agreement by posting such amendment on the Artist Authorized website (currently www.artistauthorized.org).  If Artist does not wish to comply with the terms of such amendment, Artist's sole remedy shall be to cease using the Mark(s) on manufacturing runs of Products occurring after the effective date of such amendment.

13. GOVERNING LAW; ATTORNEYS' FEES; EQUITABLE RELIEF

 	(a) THIS LICENSE AGREEMENT SHALL BE GOVERNED BY AND CONSTRUED IN ACCORDANCE WITH THE LAWS OF THE STATE OF TEXAS AND THE APPLICABLE FEDERAL LAWS OF THE UNITED STATES. ARTIST HEREBY CONSENTS TO JURISDICTION AND VENUE IN THE STATE AND FEDERAL COURTS SITTING IN THE STATE OF TEXAS, IN TRAVIS COUNTY, TEXAS. THE PARTIES AGREE TO ACCEPT SERVICE OF PROCESS BY U.S. CERTIFIED OR REGISTERED MAIL, RETURN RECEIPT REQUESTED, OR BY ANY OTHER METHOD AUTHORIZED BY APPLICABLE LAW.

 	(b) If either party employs attorneys to enforce any rights arising out of or related to this License Agreement, the prevailing party shall be entitled to recover its reasonable attorneys' fees, costs, and other expenses.

 (c) Artist acknowledges that a breach by Artist of this License Agreement may cause Artist Authorized irreparable harm which cannot be remedied by monetary damages in an action at law, and may also constitute infringement of the Mark(s). In the event of any breach that could cause irreparable harm to Artist Authorized, or cause some impairment or dilution of its reputation or trademarks, Artist Authorized shall be entitled to an immediate injunction, in addition to any other legal or equitable remedies.

14.   NO WAIVER

No waiver of any breach of any provision of this License Agreement shall constitute a waiver of any prior, concurrent or subsequent breach of the same or any other provision hereof, and no waiver shall be effective unless made in writing and signed by an authorized representative of the waiving party.

15. SEVERABILITY

If any provision of this License Agreement (or any other agreements incorporated herein) shall be held by a court of competent jurisdiction to be illegal, invalid or unenforceable, the remaining provisions shall remain in full force and effect.

16.  NO PARTNERSHIP; NOT A GUARANTOR

Neither this License Agreement, nor any terms and conditions contained hereto, shall be construed as creating a partnership, joint venture or agency relationship or as granting a franchise. Artist Authorized is not a guarantor of the fitness or quality of the Products.

17.  RESERVED RIGHTS

Nothing set forth in this License Agreement is intended to grant to Artist Authorized any ownership right of any kind with respect to any sound recording, visual image, artwork, song, merchandise or other property of the Artist to which Artist fixes the Mark(s).  All rights not expressly granted to Artist under paragraph 2(a) above are reserved by Artist Authorized.

18.  INDEPENDENT COUNSEL 

Each party acknowledges that they have had the right to be advised by independent counsel in connection with this License Agreement, or have knowingly or voluntarily waived the right to be so represented.

BY CLICKING "I AGREE" ARTIST (AND, IF APPLICABLE, EACH MEMBER OF ARTIST) IS CONSENTING TO ALL OF THE TERMS OF THE LICENSE AGREEMENT (INCLUDING THE USAGE RULES) AND INTENDS TO BE BOUND BY IT.  CLICKING THE "I AGREE" BUTTON HAS THE SAME EFFECT AS SIGNING A HARD COPY OF THIS LICENSE AGREEMENT.  ARTIST SHOULD NOT CLICK "I AGREE" UNLESS ARTIST (AND EACH MEMBER OF ARTIST) INTENDS TO BOUND BY THE TERMS OF THIS AGREEMENT.
